Wenwen Liang is the vice-director of the International Business Department of Tahota Law Firm (Shenzhen). Wenwen is also the deputy secretary-general of the International Communication and Cooperation Working Committee of Shenzhen Lawyer Association and is a member of the International Trade Bar of Shenzhen Lawyer Association.
Wenwen's main areas of practice include international trade, maritime law, M&A, corporate investment and finance, and corporate governance. She is proficient in both Chinese (Mandarin and Cantonese) and English (having passed the Test for English Major in China). With over 10 years of experience in providing legal services for cross-border business transactions, she has reviewed or drafted hundreds of contracts in English. She also regularly chairs international commercial contract negotiation and meetings in English. She excels in designing cross-border transaction structures and customizing commercial contracts in both English and Chinese.
In the international trade and logistics sector, Wenwen’s work encompasses the entire chain and touches on multiple facets. She advises clients on the design of transaction structure, risk control and compliance, and dispute resolutions on matters relating to Incoterms, L/C, bank guarantee, cargo transportation, B/L, shipping insurance, etc.
In the cross-border investment and finance sector, Wenwen has significant experience in both outbound investment projects and foreign direct investment projects, including cross-border and domestic M&A transactions, varied forms of Greenfield investment investments and joint ventures.
Wenwen also advises on general corporate issues, including PE/VC financing projects, corporate structure design projects, equity incentive plans and internal management schemes (including draft/review on the articles of association and employee handbook) for various companies in China. She has acted on a diverse load of commercial disputes, including corporate resolution disputes, factoring contract disputes, sales contract disputes, cargo transportation disputes etc.
Wenwen is dedicated to integrating theory and practice. With the purpose of regularly exchanging knowledge and insight in related areas with other colleagues in the legal industry, she directed the department in creating two e-magazines published bimonthly — the "Tahota Cross-Border Investment and Finance Newsletter" and the "Tahota Trade & Logistics Newsletter", and establishing the "Going global with Tahota" Workshop, for which she designed two distinct series of legal seminars centering on “Cross-Border Investment and Finance” and “International Trade & Logistics”.
